RESOLUTION NO. 2018-72 AUTHORIZING CITY MANAGER TO EXECUTE MODIFICATIONS TO THE OPERATION AGREEMENT BETWEEN CITY OF FOREST GROVE AND FOREST GROVE SENIOR AND COMMUNITY CENTER The resolution is authorizing the City Manager to execute modifications to the Operation Agreement between the City of Forest Grove (Owner) and Forest Grove Senior and Community Center (FGS&CC) (Operator). At the Council meeting held on May 14, 2018, Council approved a motion to reopen the Operation Agreement for the purposes of clarifying maintenance obligations, utility funding and the process for mutually amendments in the future. Downey reported staff and FGS&CC’s President and Executive Director met on two occasions to discuss changes to the existing Agreement, noting the significant modifications are as noted below: •Section 3. Renewal of Occupancy. The Agreement may be reopened by written notice of the signatories to the Agreement instead of requiring a vote of each governing body. However, any changes are subject to approval by a vote of each governing body. •Section 5. Obligations of Operator & Section 6. Obligations of Owner. All charges for heat, power, water and sewage, except natural gas, used by the Operator in the premises shall be the obligation of the Owner. Downey noted this is in accordance with Fiscal Year 2018-19 budget. •Section 6. Obligations of Owner. Appointment of the City’s Facilities Maintenance Supervisor to act as staff liaison and single point of contact for maintenance and repair issues. Requests for repairs must be made by FGS&CC Executive Director or President and should be done verbally or in writing. Requests shall be answered verbally or in writing within 24 hours. Downey noted this is to help improve response times and communications. Lastly, to better reflect current practice, the ordinary maintenance of the heating and air conditioning system is the responsibility of the Owner, and not the Operator. MOTION: Councilor Wenzl moved, seconded by Councilor Thompson, to approve Resolution No. 2018-72 Authorizing City Manager to Execute Modifications to the Operation Agreement between City of Forest Grove and Forest Grove Senior and Community Center. ROLL CALL VOTE: AYES: Councilors Rippe, Thompson, Uhing, Valfre, Wenzl, and Mayor Truax. NOES: None. ABSENT: Council President Johnston. MOTION CARRIED 6-0.
